Maurizio M. Delfino is a partner in the firm’s Corporate and Financial Services Department.  Mr. Delfino specializes in M&A, private equity, capital markets and regulation of the securities markets, and antitrust.

Chambers Europe (2011) ranks Mr. Delfino among the leading individuals practicing in the areas of Corporate/M&A, Restructuring/Insolvency and Private Equity Law in Italy, and Chambers Global (2011) ranks him among the top practitioners for Corporate/M&A.

Selected Professional and Business Activities

Mr. Delfino is a member of the Italian Association of European Lawyers, the Italian Association of Administrative Lawyers, the American Bar Association, and the International Bar Association, where he is a member of the Banking Committee and Co-Chairman of the Subcommittee on Innovations in Financial Transactions. 

Mr. Delfino has been teaching public economic law on a part-time basis since 1979 at the University of Rome Law School.  He has written several monographs and has had numerous articles published in major law reviews in the fields of securities regulation, corporate finance, the protection of minority shareholders, and antitrust.  He is a frequent lecturer at national and international symposia in these fields and occasionally holds a course on privatization at the University of Rome Law School.

Mr. Delfino is fluent in Italian, English, and French.

Selected Significant Matters
  • Assisted OAO Severstal in the acquisition of Lucchini S.p.A., Italian leader in steel manufacturing (transaction value: EUR 1.5 billion).

  • Assisted EDF (a world-leading, French state-owned supplier of power) in making joint venture agreements with AEM Spa and launching a tender offer on Edison S.p.A. (transaction value: EUR 5 billion). 

  • Assisted the reinsurance companies Munich RE and ERGO in negotiations with SAI to acquire 29% of the shares of La Fondiaria, a leading Italian insurance company (overall value: EUR 1.1 billion (anticipated)).

  • Assisted the reinsurance companies Munich RE and Ergo in the purchase from Spes Beteiligungs GmbH of 100% of the shares of BBV Italia S.p.A. (which owns 70% of Bayerische Vita S.p.A.) and 80% of Bayerische Assicurazioni S.p.A. (overall value: EUR 836.6 million); and assisted Munich Re ERGO in the mandatory take-over bid over Bayerische Vita S.p.A. (overall value: EUR 218 million).
