Michael C. Petronio is of counsel in the Corporate and Financial Services Department of Willkie Farr & Gallagher LLP in the New York.  Mr. Petronio offers comprehensive transactional representation in matters related to securitization, as well as the acquisition, sale and financing of portfolios of consumer and commercial financial assets.  

Most recently, Mr. Petronio’s practice has focused on the acquisition and sale of distressed consumer and commercial mortgage assets (including transactions related to the divestiture of banks and failed bank assets), as well as the securitization of esoteric financial assets, such as life settlement receivables, structured settlements and tax liens.  He also has extensive experience in commercial mortgage backed securities (CMBS), residential mortgage backed securities (RMBS) and collateralized debt obligations (CDOs), and has worked on numerous innovative and market-leading transactions, including some of the earliest CDOs backed by B-notes, mezzanine loans, senior and pari passu whole loans and other non-CUSIP assets.

Representative transactions include the following:

• Principal finance transactions relating to consumer and commercial financial assets, including joint ventures, warehouse lines, residual financings, acquisitions of mortgage loan, credit card and auto loan portfolios, acquisitions of non-performing assets and similar principal activities.
